By checking the box to accept this Terms of Use and clicking “Register”, the legal entity specified as the “Company” or “Client” in the registration form (“you” or “your”) accepts and agrees to be bound by this “Terms of Use” for creating an account to evaluate and purchase Rimini Support Flex for VMware from Rimini Street, Inc. (“Rimini Street”, “we”, “us” or “our”) through the website www.riministreet.com (“Site”). The person registering for an account and accepting this Terms of Use represents and warrants that they are authorized, as a representative of the party on whose behalf they are registering, to register for an account and accept these Terms of Use and to bind their respective party thereto. If you do not agree to this Terms of Use, you may not create an account. You may follow the Contact Us link to reach a Rimini Street representative.

Account Requirements

An account is required to purchase Rimini Support Flex for VMware through the Site. Only one account per Client is permitted. You must use a valid business address and business e-mail address to create an account. This requirement cannot be circumvented by creating multiple accounts with different physical business addresses or e-mail addresses or using any personal physical address or e-mail address. Rimini Street reserves the right, in its discretion, to prohibit users from creating accounts or making multiple purchases that are prohibited by this Terms of Use.

Confidentiality

Confidential Information. The term “Confidential Information” means any information relating to services, products, pricing, customers, markets, inventions, software, systems, processes, personnel, designs, marketing, business strategies, trade secrets, finances, and other nonpublic information of the disclosing Party or its affiliates (“Disclosing Party”) disclosed to the receiving Party or its affiliates (“Receiving Party”) for the purpose of purchasing or evaluating Rimini Support Flex for VMware services through the Site. Confidential Information does not include information that the Receiving Party can establish by legally sufficient evidence: (i) was in the possession of, or was rightfully known by, the Receiving Party without an obligation to maintain its confidentiality prior to its disclosure by the Disclosing Party; (ii) is, or becomes, generally known to the public without breach of this Agreement; (iii) is obtained by the Receiving Party in good faith from a third party without any communicated obligation of confidentiality; (iv) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information; or (v) is authorized in writing by the Disclosing Party to be released from the confidentiality obligations of this Terms of Use.
Non-Disclosure. The Receiving Party shall use the Disclosing Party’s Confidential Information only for the purpose of purchasing or evaluating Rimini Support Flex for VMware services through the Site and shall not disclose it to any person or entity other than its or its affiliates’ employees, directors, contractors, consultants, counsel or agents (collectively, “Authorized Recipients”) who have a reasonable need to know such information for the purpose of purchasing or evaluating Rimini Support Flex for VMware services through the Site and who are bound by at least equivalent obligations of confidentiality and non-disclosure as those under these Terms of Use. The Receiving Party is responsible for the compliance of its Authorized Recipients with the confidentiality and non-disclosure obligations of these Terms of Use. The Receiving Party will use the same standard of care to protect the Disclosing Party’s Confidential Information as it uses to protect its own similar confidential and proprietary information, but no less than reasonable care. If it becomes necessary for the Receiving Party to disclose any Confidential Information to enforce these Terms of Use or comply with a judicial or administrative proceeding or similar process, the Receiving Party shall, to the extent legally permitted, provide the Disclosing Party with prompt written notice so the Disclosing Party may, at the Disclosing Party’s expense, seek a protective order or other appropriate remedy to protect such information. If such protective order or other remedy is not obtained, the Receiving Party will not be in breach by furnishing such Confidential Information as required.

Use of Site Information

You may download, view, copy, and print documents and graphics incorporated in these documents (the “Documents”) from the Site subject to the following: (a) the Documents may be used solely for personal, informational, non-commercial purposes; and (b) the Documents may not be modified or altered in any way. Except where your use constitutes “fair use” under copyright law, you may not otherwise use, download, upload, copy, print, display, perform, reproduce, publish, license, post, transmit, or distribute any information from this website in whole or in part without the express written authorization of Rimini Street or its affiliates (collectively, “Rimini Street”).

Mobile Tools Disclaimer

Your access to, and use of, the mobile communication tools and text messaging services (collectively, the “Mobile Tools”) is subject to these Terms of Use and all applicable laws and regulations. By accessing and using the Mobile Tools, you accept, without limitation or qualification, the Terms of Use applicable to the Site as set forth herein. For purposes of the Terms of Use, the Mobile Tools are deemed part of the Site.
Mobile Tools may be provided for on-the-go access to important information and services related to the Site and/or services. You agree that Rimini Street is not responsible for third party content accessible through the Site, including opinions, advice, statements, and advertisements, and understand that you bear all risks associated with the use of such content. If you choose to purchase any products or services from a third party, your relationship is directly with the third party. You agree that Rimini Street is not responsible for: (a) the quality of third party products or services; and (b) fulfilling any of the terms of your agreement with the third party, including delivery of products or services and warranty obligations related to purchased products or services. You agree that Rimini Street is not responsible for any loss or damage of any sort that you may incur from dealing with any third party.

Termination of Use

You agree that Rimini Street may, in its sole discretion, at any time terminate your access to the Site and any account(s) you may have in connection with the Site. Access to the Site may be monitored by Rimini Street.

Changes

Rimini Street may terminate, change, suspend, or discontinue any aspect of Rimini Support Flex for VMware, including the availability of any features or pricing, at any time before you have completed the purchase of Rimini Support Flex for VMware. Rimini Street may also impose limits on certain features and services or restrict your access to your account without notice or liability at any time before you have completed the purchase of Rimini Support Flex for VMware.

Note about Children

Minors are not eligible to use the Site.
